This sweepstakes is open only to individuals who are legal residents of the 48 Contiguous United States and the District of Columbia who are licensed drivers in their primary state of residence and are aged 18 years or older, and not a minor in their state of residence, at the time of entry. Marden-Kane (“Administrator”), and all of their respective parent, subsidiary and affiliate companies, distributors, dealers, dealer advertising associations, prize suppliers, advertising and promotion agencies and any other agency that provides services in connection with this Sweepstakes, as well as the immediate family (spouse, parents, siblings and children and their respective spouses, regardless of where they reside) and household members of each such employee, whether related or not, are not eligible to participate in this Sweepstakes.

The Sweepstakes begins at 12:00 a.m. Pacific Time (“PT”) on June 9, 2008 and ends at 11:59 p.m. PT on July 28, 2008 (“Promotion Period”).

4. How To Enter:

Access the “If Looks Could Kill Sweepstakes” website online (“Website”) at http://www.iflookscouldkill.com during the Promotion Period and complete the official online Entry Form to receive one (1) entry. The Entry Form may be accessed by viewing and/or participating in an episode or part of an episode presented each Entry Period or by clicking the “Enter Sweepstakes” link(s) located throughout the If Looks Could Kill website. Entrants will be required to provide their name, complete street address, phone number and e-mail address and to create a Username and Password to be used for subsequent entry attempts. Limit one (1) Entry per person per household per Entry Period. Subsequent entries submitted by a single entrant or e-mail address will be disqualified. Proof of submission does not constitute proof of delivery. “Releasees” (as defined below) assume no responsibility for lost, late, illegible, garbled or misdirected entry materials, or for any computer, online, telephone, human, or other error or for any technical or other malfunctions that may occur. No mechanically reproduced, illegible, incoherent, unusable, or incomplete entries will be accepted. All entries become the property of Sponsor and will not be acknowledged or returned. This information (entries) will be used only by Sponsor and affiliate Companies; it will not be shared with other parties.

5. Winner Selection:

Weekly Prize Drawings: Random drawings will be conducted according to the Entry Chart below from among all eligible entries that have been properly registered online . All drawings for the Weekly Prizes will be held according to the dates listed in the Entry Chart below. Entries will only be eligible for the Weekly Prize entry period for which they are received. Entries will not be eligible for subsequent Weekly Prize drawings; however, all entries will be eligible for the Grand Prize drawing. Odds of winning a Weekly Prize depend on the number of eligible entries received for each Weekly Prize drawing.

Grand Prize Drawing: Each eligible entry received for any Weekly Prize drawing will also be eligible for the Grand Prize drawing to be conducted on or about August 6, 2008, as noted in the Entry Chart above. Odds of winning the Grand Prize depends on the number of eligible entries received. A Weekly Prize winner will remain eligible to win the Grand Prize.

The drawings will be conducted under the supervision of Marden-Kane Inc., an independent judging organization, whose decisions are final on matters relating to this sweepstakes.

6. Prizes:

1 Grand Prize: A 2009 Toyota Camry XLE 3.5L V6 automobile. Approximate Retail Value: $40,000. The depiction of the vehicle prize in any advertising or promotional materials may not reflect the actual vehicle delivered to the winner. Sponsor will determine all features of automobile including, but not limited to, color of exterior and interior, and all other features or upgrades will be allowed only if permitted by delivery dealer and paid for by winner. Winner must be a U.S. licensed driver and will be required to provide proof of valid U.S. driver’s license and legally-required insurance at time of delivery (or an alternative winner shall be selected if applicable and the original winner’s rights to the vehicle shall be automatically forfeited). Winner is responsible for title, applicable taxes, license, registration, dealer preparation costs, auto insurance and other fees associated with prize. Sponsor shall not have any responsibility or liability whatsoever for any property loss, damage, personal injury, or death, in connection with the prizes provided pursuant to the Sweepstakes and/or any person’s participation in the Sweepstakes; provided, however, that Sponsor shall be solely responsible for any express-written limited warranties specifically set forth in the applicable Owner's Guide for the vehicle. Winner must take delivery of prize from the automobile dealership designated by Sponsor. Sponsor shall not be responsible for delays in delivery of the prize vehicle, and delivery is subject to availability. Sponsor, however, shall use all reasonable efforts, subject to availability, to deliver the Grand Prize vehicle within one hundred twenty (120) days of completion of verification process. The winner shall bear all risk of loss or damage to the Grand Prize vehicle after it has been delivered to the specified delivery site. The winner must personally retrieve the Grand Prize vehicle within thirty (30) days of written notification of delivery. Prize is non-transferable and no substitution or cash equivalent is allowed except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute the prize for one of comparable or greater value, at its sole discretion. Winner is responsible for all taxes and other costs and fees associated with prize receipt and/or use not specified herein as being awarded. Odds of winning the prize depend on the number of eligible entries received during the Promotion Period.

Total ARV of all prizes, including the Grand Prize: $147,225.

Any applicable tax on a prize is the sole responsibility of the winner. Specifics of prize packages are subject to availability and sponsor’s sole discretion. Weekly Prizes will be awarded by U.S. mail and/or overnight delivery service. Limit: one (1) Weekly Prize per person, however a Weekly Prize winner remains eligible to win the Grand Prize. Travel Prizes must be completed within one (1) year of date of prize award or prize will be forfeited. Some restrictions and blackout dates may apply. Travel arrangements must be made through agent of Sponsor’s choosing. Actual value of the trip depends on winner’s residence or departure city. Travel Prize winners must have all necessary identification and/or travel documents required, including any Passports and/or Visas required for international travel (if applicable). Winner’s travel guest must be the age of majority in his or her state of residency or Winner must be guest’s parent or legal guardian. All Travel Guests must travel together from same point of origin. No barter, transfer, sale, substitution, or assignment of any prize permitted, except by Sponsor at its sole discretion. Sponsor and its respective parents, subsidiaries and affiliated companies (the "Toyota Entities") maintain no control over the personnel, equipment, or operation of any air, water or surface carrier, ship line, bus or limousine company, transportation company, hotel, restaurant, or other person or entity furnishing service, products, or accommodations as a part of the prize provided under this sweepstakes (“Suppliers”). The Toyota Entities shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience, or other irregularity that may be caused or contributed to (a) by wrongful, negligent, or unauthorized act or omission on the part of any of Suppliers or any of their agents, servants, employees, or independent contractors, (b) by any defect in or failure of any vehicle, equipment, instrumentality, service, product, or accommodation that is owned, operated, furnished, or otherwise used by any Supplier, (c) by the wrongful, negligent, or unauthorized act or omission on the part of any other person or entity not an employee of the Toyota Entities, or (d) by any cause, condition, or event whatsoever beyond the control of the Toyota Entities.

The Toyota Entities shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience, or irregularity arising out of or relating to any prize granted under this sweepstakes, even if caused by the negligence of the Toyota Entities, except that the terms of the Toyota Entities’ liability to the winners of the Grand Prize Vehicle will be governed by the express written limited warranties set forth in the Vehicle's applicable Owner's Guide.

Sponsor reserves the right to substitute a prize of equal value in the event that an offered prize is unavailable for any reason. Prizes are not redeemable for cash. Any and all guarantees and warranties for merchandise prizes are subject to the manufacturer’s terms and conditions, and winners agree to look solely to such manufacturers for any such warranty or guarantee claim. Usage of Gift Cards is subject to the terms and conditions of the issuing entity governing such use.

7. General Provisions:

Sweepstakes entrants agree to be bound by the terms of these official rules. The laws of the United States govern this Sweepstakes. All federal, state, and local laws and regulations apply. The winners will be notified via e-mail and/or U.S. Mail within two (2) weeks of prize drawing and may be required to execute and return an Affidavit of Eligibility and Liability and where legal, Publicity Release within fourteen (14) days following the date of issuance of notification. If the potential winner cannot be contacted, or fails to sign and return the Affidavit and Publicity Release within the required time period, he/she forfeits prize. In the event that a potential winner is disqualified for any reason, Sponsor will award the prize to an alternate potential winner by random drawing from among all remaining eligible entries. Only three (3) alternate drawings will be held after which the prize will remain un-awarded.

8. Publicity:

Except where prohibited, participation in the Sweepstakes constitutes winner’s consent to Sponsor and its parent, subsidiary and affiliated companies, and their advertising and promotion agencies and other designees’ use of winner’s name, likeness, photograph, voice, opinions and/or hometown and state for promotional, publicity, public relations and advertising purposes in any manner in any and all media now or hereafter known worldwide in perpetuity, without further payment, consideration, permission or notification.

9. Release.

By participating, entrant agrees to release and hold harmless the Sponsor and Administrator and their respective parents, subsidiaries, affiliates, distributors, dealers, dealer advertising associations, advertising and promotion agencies, prize suppliers and any other agency that provides services in connection with this Sweepstakes, and each of their respective officers, directors, employees, representatives, contractors and agents and successors and assigns (the “Releasees”) from and against any and all rights, claims and causes of action whatsoever that they may have, or which may arise, against any of them for any liability for any matter, cause or thing whatsoever, including but not limited to any injury, loss, damage, whether direct, compensatory, incidental or consequential, to person, including death and property, arising in whole or in part, directly or indirectly, from their acceptance, possession, use or misuse of the prize in the Sweepstakes, or their participation in the Sweepstakes, or their participation in any Sweepstakes or prize related activity, or any travel related to the Sweepstakes or any travel for any prize-related activity. WINNER ALSO FURTHER ACKNOWLEDGES THAT SPONSOR, ADMISTRATOR AND THEIR AFFILIATES, SUBSIDIARIES, EMPLOYEES, OFFICERS, DIRECTORS, AND PROMOTIONS AND ADVERTISING AGENCIES HAVE NEITHER MADE, NOR ARE IN ANY MANNER RESPONSIBLE OR LIABLE FOR, ANY WARRANTY, REPRESENTATION OR GUARANTEE, EXPRESSED OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO ANY PRIZE OR THE SWEEPSTAKES.

The use of any automated means that permits the participant to automatically enter repeatedly is prohibited. If for any reason this sweepstakes is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Toyota Motor Sales, U.S.A., Inc. which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Toyota Motor Sales, U.S.A., Inc. reserves the right at its sole discretion, to disqualify any entry or any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Sweepstakes and select winners using all eligible, non-suspect entries and/or votes received as of the date of termination. Releasees assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. 11. Disputes:

Participant agrees that (1) any and all disputes, claims, and causes of action arising out of, or connected with, this Sweepstakes (including without limitation, any alleged violation of these Official Rules, any controversy relating to the arbitrability of any dispute, or any claim that these Official Rules (or any part thereof) are invalid, illegal, or otherwise voidable (or void)) shall be resolved individually, without resort to any form of class action, and exclusively by arbitration to be held solely in Los Angeles, California under the auspices of the American Arbitration Association and pursuant to its Commercial Dispute Resolution Rules and Procedures; (2) any and all claims, judgments, liabilities, and/or awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participant’s participation in this Sweepstakes or otherwise accessing this Sweepstakes, but in no event attorneys’ fees; and (3) under no circumstances will you be permitted to obtain awards for, and participant hereby waives, all rights to claim, punitive, special, incidental, and/or consequential damages and any other damages, other than out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.

Box 702, Sayreville, NJ 08871-0702. Mail-in requests received after September 30, 2008 will be disregarded. Residents of VT may omit return postage.
